OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. Dispute Resolution – Arbitration and Class Action Waiver

You and we agree that any dispute, claim, or controversy arising out of or relating in any way to your use of the Services or these Terms shall be resolved exclusively through binding arbitration conducted under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the county where you reside or another mutually agreed-upon location.
You agree that:
- You are waiving your right to a jury trial;
- You are waiving your right to participate in a class action, class arbitration, or representative action;
- Each dispute shall be arbitrated on an individual basis only;
- The arbitrator shall have the authority to award damages only to the extent allowed under this agreement and applicable law.
This arbitration clause shall survive the termination of these Terms or your use of the Services. If any part of this section is found to be unenforceable, the remainder shall remain in full force and effect.
13. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be struck and the remaining Terms will remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SearchPeopleNow regarding the Site and supersede all prior or contemporaneous communications or proposals.
15. Modifications to the Terms
We reserve the right to modify these Terms at any time. We will post the updated version on this page with the “Last Updated” date. Your continued use of the Services after any changes are posted constitutes your acceptance of the revised Terms.
16. Termination
We may terminate or suspend your access to the Site, with or without notice, for conduct that we reasonably believe violates these Terms, is harmful to us, other users, or third parties, or is otherwise unlawful.
